CHRYSLER CORPORATION: NEGOTIATIONS BETWEEN DAIMLER AND CHRYSLER ∗

In January 1998, Jürgen Schrempp, CEO of Daimler-Benz A.G., approached Chrysler Corporation Chairman and CEO, Robert Eaton, about a possible merger, acquisition, or deep strategic alliance between their two firms. Schrempp argued that: The two companies are a perfect fit of two leaders in their respective markets. Both companies have dedicated and skilled work forces and successful products, but in different markets and different parts of the world. By combining and utilizing each other 's strengths, we will have a pre-eminent strategic position in the global marketplace for the benefit of our customers. We will be able to exploit new markets, and we will improve return and value for our shareholders. 1

Schrempp recounted, "I just presented the case, and I was out again. The meeting lasted about 17 minutes. / don 't want to create the impression that he was surprised. When the meeting was over, / said; 'If you thin I 'm naive, this is nonsense I 'm talking, just tell me. ' He smiled and said, "Just give me a chance. 'We have done some evaluation as well, and I will phone you in the next two weeks. ' I think he phoned me in a week or so. ,,2

Independently Eaton had concluded that some type of combination of Chrysler with another major automobile firm was needed: the firm was .currently financially healthy, but industry overcapacity and huge prospective investment outlays called for an even larger type of global competitor. Before seeing Schrempp, Eaton had polled investment bankers for their ideas about a major automotive merger, .and had spoken with executives from BMW on this topic.

Eaton replied positively to Schrempp 's idea of an industrial combination. Now lay ahead the task of forging the details of the agreement to combine. Robert Eaton appointed a small task force of business executives and lawyers to represent Chrysler in the detailed negotiations. Eaton challenged this team on

    EXECUTIVE SUMMARY In April 2005, Ford announced its intention to investigate possible strategic alternatives for Hertz. At the same time, Ford’s stock price went down significantly. This negative reaction from the market shows Ford’s lack of confidence in its future operation, since Hertz is one of the strongest subsidiaries and revenue sources for Ford. Even though Ford would lose significant value of itself in this transaction, the slump in Ford’s main business especially in North American segment and a possible downgrade of its bond rating forced them to conduct drastic financing strategy to recover itself. The company had two alternatives to rid of Hertz: selling to a private bidding group via LBO transaction and listing on public stock exchange market. Their priority was to acquire the immediate cash through this transaction of Hertz. Our analysis of the LBO offer proposed by Bidding Group yields an expected return of 21.2%, and expected return by the public market to equal 24%. FORD’S MOTIVATION In 2005, Ford is valuing possibilities of selling its 100% subsidiary of Hertz in the most financially favorable manner. During Jacques Nasser’s presidency, Ford lost its financial stamina. Nasser successfully finalized many deals including Volvo, Land Rover and Hertz, yet this aggressive business expansion and buyout gave Ford a very vulnerable position. As the Ford’s need for cash increase, it began considering the strategic alternatives of selling Hertz privately to private investors and going to a public offering. This dual truck process can increase the bargaining power for Ford in the bidding for Hertz.     The source of conflict between Porsche and Volkswagen are that both chairman had a breakdown in communication which resulted in different views regarding the company goals and the direction they wanted the company to go. Each chairman had a different perspective on the direction and development of the company; therefore making their goals incompatible which created an internecine warfare between the two.     In order to understand and be critical on Daimler’s choice of partner, apart from the motives presented in the case, one also needs to consider the enterprise environment trends during the time. 90’s was a wave of mergers and acquisitions characterized by Cross-border ventures (Lipton M., 2006). According to Lipton it was an era where size mattered and mergers were considered the one-way to internationalization and market expansion. Furthermore, nine of the ten largest deals in history all took place in the three-year period 1998-2000. Having established that, one can understand that Daimler was under market and investor pressure to go large. In such an environment, a European company would think of an integrative expansion to the vast US market as the best strategy (Japanese market too cultural different). So, from the choices of either founding a new subsidiary (high risk) or seeking for a JV, or an acquisition or a merger Daimler went for the merger. It was an effort to meet the environmental trend by increasing market share and to make a big impact to the larger competitors. Comparing the three great American car companies, GM was too large (in 1997 GM had $178b revenues compared to Daimler’s $71b) and difficult to control, Ford had investor issues (Ford family), but Chrysler, a similar size company, would seem the best partner. Chrysler was also ideal partner for Daimler because it had a good knowledge of the local market, which lowers the venture risk (Bartlett & Beamish, 2011), and it would offer R&D synergies and broaden the offered product range (Glavin W. F., 2004). Considering all those factors I believe that Chrysler was the best choice of a partner.…
